LAW 6053 - Mergers and Acquisitions

This course examines the planning and execution of corporate mergers and acquisitions. While the doctrinal focus will be state corporate law, a number of other subjects pertinent to M&A transactions will also be touched upon, including securities, antitrust, tax, and accounting issues. Emphasis will be placed upon problems and exercises illustrating the nature and dynamics of transactional legal practice.
